Field Partner (Worker) Agreement

1. Relationship to other terms
This Field Partner (Worker) Agreement (“Worker Agreement”) applies to individuals and entities that use Xpande to discover, apply for, or perform Tasks posted by Businesses. It supplements the Terms of Service and Privacy Policy.
2. Independent contractor status
You acknowledge and agree that you are an independent contractor and not an employee of Xpande. Nothing in this Worker Agreement creates a partnership, agency, or employment relationship between you and Xpande.
Your relationship with a Business is separate. Unless a Business and you expressly agree otherwise in writing, you are not an employee of that Business solely because you use the Platform. Classification rules depend on facts and law; you are responsible for seeking advice if you are uncertain about your status or obligations.
Xpande does not provide employment benefits (for example, vacation pay, pensions, or group health coverage) and does not guarantee minimum earnings, hours, or continued access to opportunities.
3. Taxes, licences, insurance, and compliance
You are solely responsible for:
- income taxes, sales taxes, GST/HST/QST (as applicable), and other governmental charges related to your work;
- business registrations, permits, licences, certifications, and professional obligations required for Tasks you accept;
- maintaining appropriate insurance (for example, auto, liability, or tools coverage) based on the Tasks you perform; and
- complying with local, provincial, and federal laws while performing Tasks, including traffic laws, safety rules, and workplace conduct standards.
Xpande does not withhold payroll taxes for you as an employer would, unless a product feature explicitly states otherwise and only to the extent required by law.
4. Conduct, honesty, and safety
You will perform Tasks honestly, follow reasonable and lawful instructions stated in the posting or agreed messaging, and submit accurate proof. You will not misrepresent completion, timestamps, locations, identities, or materials.
You will use reasonable care for your safety and the safety of others. If a Task appears unsafe, unlawful, or inconsistent with the posting, you should decline or stop work and notify the Business and/or Platform support as appropriate.
5. Payments and disputes
Payment amounts and timing depend on the Task posting, acceptance rules, and any payout features offered on the Platform. Third-party payment processors may apply.
To the maximum extent permitted by applicable law, Xpande is not liable for payment disputes, chargebacks, delayed payouts, incomplete work by counterparties, or Business insolvency. Xpande may assist in good faith but is not obligated to resolve disputes between Users.
6. Ratings, verification, and opportunities
Xpande may display ratings, completion metrics, verification badges, or similar signals. These features are informational. They do not guarantee future earnings, assignment volume, or Business behaviour.
7. Account enforcement
We may suspend or terminate accounts that violate the Terms, this Worker Agreement, or community standards, or that present fraud, safety, or legal risk. Where appropriate, we may offer an appeal channel through support.
8. Privacy
You agree to handle personal information you receive from Businesses or the Platform in accordance with applicable privacy law and only as reasonably needed to perform Tasks.
9. Indemnity
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Xpande and its affiliates, directors, officers, employees, and agents from claims arising out of or related to your performance of Tasks, your breach of this Worker Agreement or the Terms, your misclassification or tax failures, or your violation of applicable law.
10. Limitation of liability
To the maximum extent permitted by applicable law, the disclaimers and limitations in the Terms of Service apply to you, including the aggregate liability cap described there.
11. Governing law
This Worker Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, consistent with the Terms of Service.
